1. Introduction 

Welcome to PowerTools! These Terms of Service (“Terms”) govern your access to and use of our PowerPoint productivity add-in (“PowerTools”) provided by PowerCorp (“we”, “our”, “us”). By using PowerTools, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use PowerTools.

2. License Grant 

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use PowerTools solely for your personal or internal business purposes.

3. License Restrictions 

You shall not:

  • Modify, alter, adapt, or translate PowerTools.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of PowerTools.
  • Rent, lease, loan, sell, sublicense, distribute, or otherwise transfer PowerTools to any third party.
  • Remove, alter, or obscure any proprietary notices or labels on PowerTools.

4. User Responsibilities 

You are responsible for:

  • Ensuring that your use of PowerTools complies with all applicable laws and regulations.
  • Maintaining the confidentiality of your license key and account credentials.
  • All activities that occur under your account, including any misuse by others.

5. Updates and Changes 

We reserve the right to update, modify, or discontinue PowerTools at any time without prior notice. We may also modify these Terms from time to time. Continued use of PowerTools after any such changes constitutes your acceptance of the new Terms.

6. Support 

We may offer support for PowerTools at our discretion. Support may be provided via email, chat, or other means as specified on our website.

7. Fees and Payment 

You agree to pay all applicable fees for the use of PowerTools. Fees are non-refundable except as required by law. We reserve the right to change our fees at any time, with notice to you if you have a subscription.

8. Termination 

We may terminate your license to use PowerTools at any time without notice if you breach these Terms. Upon termination, you must cease all use of PowerTools and destroy any copies in your possession.

9. Disclaimer of Warranties 

PowerTools is provided “as is” and “as available” without warranties of any kind, either express or implied. We disclaim all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability 

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use PowerTools; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any bugs, viruses, trojan horses, or the like that may be transmitted to or through PowerTools by any third party; (d) any errors or omissions in any content; or (e) any other matter relating to PowerTools.

11. Indemnification 

You agree to indemnify, defend, and hold harmless PowerCorp, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of PowerTools or your violation of these Terms.

12. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of Delaware (USA), without regard to its conflict of law principles.

13. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the use of PowerTools and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter of these Terms.
